LICENSE AGREEMENT

By checking the box below, labeled "I have read and agree to the terms above," and entering the 2010 Maxim Hometown Hotties Competition, I agree to the following:

[ ] I am an entrant in the 2010 Hometown Hotties Competition.  I have read and agree to the terms and conditions listed under the Hometown Hotties Official Rules.

[ ] I am at least 21 years of age, and am a  legal resident of any State of the United States or province of Canada (excluding Quebec),

[ ] I warrant and represent that I own or have the necessary licenses, rights, consents and permissions to use and authorize Alpha Media Group Inc. and its subsidiaries (the "Competition Entities") to use all material and media that I upload or otherwise submit by any means (the "User Content") to the Competition Entities, including but not limited to all copyright or other proprietary rights in and to any and all User Content necessary to enable inclusion and use of the User Content on this website, on other websites owned, managed or otherwise affiliated with the Competition Entities, in Maxim Magazine,  and as otherwise provided herein and in the Official Rules.

[ ] I agree that I will not upload any images (photographs or videotapes) that were taken when I was younger than 21 years of age.  I further agree and confirm that all of the images that I submitted as part of the Hometown Hotties Competition were taken no earlier than July 1, 2009.

[ ] I agree that I will not: (a) submit materials that are subject to protection under any applicable copyright, trademark or trade secret, or that are otherwise subject to third-party rights, unless I am the owner of such rights, or I have the express permission of the owner (without any requirement of additional compensation to be paid to such owner) of such rights to post such material and to grant all of the rights granted herein; (b) submit any User Content that violates the rights of any person or entity, including but not limited to the rights of privacy or publicity of any person; (c) submit User Content that is unlawful, obscene, defamatory, threatening, harassing, racially or ethnically offensive, or that encourages conduct that would be considered a criminal offense, give rise to civil liability, or violate any law, or that is unduly dangerous; (d) submit User Content that displays full nudity, nipples or genitalia, or enacts or simulates any sexual act; or (e) submit User Content that impersonates another person.

[  ]  I understand that if a photographer/ or any other third party owns the copyrights to any of the materials that I have submitted, I must obtain a Copyright Release (a link to the form is available at the footer of this page) signed by the Copyright Holder(s) without payment of additional compensation of any kind, or I will be ineligible to participate in the Competition.  I am responsible for any financial reimbursement to the original Copyright Holder for the rights to publish such materials; the Competition Entities will not be responsible for any such payment.  I also understand that the Competition Entities will remove all copyright notices from photographs, and that no credit will be given to the Copyright Holder.  I agree to hold the Competition Entities harmless and to indemnify the Competition Entities from any and all liabilities, loss, claims, or causes of actions, including reasonable attorneys' fees and expenses that may be incurred by the Competition Entities, arising out of or relating to my breach of any of the foregoing representations and warranties or any other obligation under the rules.

[  ]  I understand that I have no right to use the Hometown Hotties name or logo, or Maxim name and logo, for any purpose whatsoever without the prior written permission of the Competition Entities.

[ ]  I hereby grant the Competition Entities the right to use the User Content on any website whatsoever, including but not limited to those websites owned, operated or partnered with Dennis Digital, Inc., as well as on other media platforms, including but not limited to WAP, mobile and wireless media platforms, that permit the User Content to be uploaded or downloaded.

[  ]  I understand that Maxim reserves the right to modify the official rules as it deems appropriate in its sole and absolute discretion.
